bylaws
   The formally adopted written rules that govern the conduct of a corporation, association, partnership or other organization. Bylaws normally are adopted by the shareholders of a profit-making business or the board of directors of a nonprofit corporation. Bylaws generally provide for meetings and elections of a board of directors and officers, and establish hiring practices and other operational matters. They should not be confused with the articles of incorporation, which only state the basic outline of the company and its share structure.
